TERMS & CONDITIONS
THE TERMS AND CONDITIONS SET FORTH BELOW CONSTITUTE THE ENTIRE AGREEMENT BETWEEN SELLER AND BUYER. BUYER SHALL BE DEEMED TO HAVE ASSENTED TO THE TERMS HEREOF WHETHER OR NOT PREVIOUSLY RECEIVED UPON ACCEPTING DELIVERY OF ANYTHING SHIPPED BY SELLER. TERMS WILL BE PERIOCITALLY MODIFIED AND UPON ACCEPTING MERCHANDISE BUYER AGREES TO SAID CHANGES IN TERMS. PRICING, INCLUDING MASP (see below) WILL CHANGE AND REODERING OR ACCEPTANCE OF MERCHANDISE WILL DEAM ACCEPTANCE OF SAID CHANGES. ALIEN WILL NOT BE BOUND BY ANY TERMS OF BUYER'S ORDER THAT ARE INCONSISTENT WITH THE TERMS HEREIN
TERMINOLOGY
"BUYER" means the purchaser from Alien Paintball Equipment, Inc. "SELLER" means Alien Paintball Equipment, Inc. (Alien)
MINIMUM ADVERTISED AND SALES PRICE POLICY (MASP)
This policy applies equally to all Alien distributors and dealers.
Alien has established a Minimum Advertised and Sales Price for Paintball marker(s) that is $50 less than the Suggested Retail Price. All other Alien products are at 90% of MSRP. It is Alien policy to allow twenty-four (24) hours for a violating dealer to contact Alien and explain how the mistake occurred, what steps have been taken to correct the situation and to make sure it doesn’t happen again. At such time Alien will determine in writing if the transgression is excuse. In the absence of a written acceptance said dealer is immediately terminated. No further sales will be made and all inventory held by dealer must be returned. All offers to sell must be immediately removed from websites. All Alien products must be immediately returned to Alien in pristine re-saleable condition with all shipping and insurance pre-paid. Payment for returned, re-saleable products to be made to the former dealer within fourteen (14) days of receipt of the products at current wholesale price minus a 20% restocking fee. Determination of re-salability will be left entirely to the discretion of Alien. The violating dealer may be held legally responsible for any market damage or a ten-fold multiple of product sold below MASP plus all legal fees and expenses necessary to recover such monies.
Re-application for dealership may not be made again until the following calendar year. If Alien accepts the dealership application the product pricing for the first year will be at single unit pricing.
This MASP policy applies to all forms of dealer sales and advertising including over-the-counter, mailings, catalogs, displays at consumer exhibitions and shows, and any and all other forms of advertising media. Internet sales are especially noteworthy and any price information relating to Alien products on an Internet website which can be accessed directly through any hypertext link or by any other method which uses the hypertext transfer protocol (http) is considered to be advertising for purposes of this policy.
PRICES, DISCOUNTS, AND QUOTATIONS
All invoice prices are those in effect on the date of shipment, unless otherwise agreed to in writing by Buyer and Seller. Published prices are neither quotations nor offers to sell. Prices do not include applicable Federal, State or local taxes, or import duties. Buyer shall pay all taxes and/or duties applicable to products ordered. Should a order be received and then the wholesale price be changed before then product is shipped, Alien reserves the right to contact the purchaser and either have the purchaser agree to the price change or, if refused, cancel the order.
PAYMENT TERMS
COD or prepay with credit card. Buyer to pay all C.O.D. charges and fees.
ACCEPTANCE OF ORDER
Terms and conditions contained in Buyer's purchase order or other correspondence from Buyer which differs from or adds to the herein contained terms and conditions shall not become part of the agreement between Buyer and Seller and shall not be binding upon Seller.
CANCELLATION OF ORDERS
Buyer cannot cancel an order without written consent by Seller. Without Seller’s consent to cancellation, Seller shall deliver items to Buyer and payment in full will be due from Buyer. Buyer agrees to indemnify and hold harmless Seller from any and all losses sustained by Seller as a result of any attempted cancellation by Buyer's or change in an accepted purchase order.
SHIPPING AND DELIVERY
Buyer shall be responsible for all freight, handling and insurance charges. Risk of loss shall pass from Seller to Buyer upon delivery to the carrier F.O.B. origin. All orders are shipped by the most affordable means possible, typically Priority Mail on smaller orders and UPS Ground unless otherwise specified. We also offer UPS- Next-Day Air, Second-Day Air and Three-Day Select.
NO RETURN POLICY
All sales are final.
DAMAGED SHIPMENTS
All damaged shipments must be reported within 48 hours of receipt in order to make a claim. In the event of a damaged shipment, keep all packaging material or boxes. When reporting a claim, please email us. A call tag may be issued to pick up damaged merchandise, or the carrier will return to inspect the package for claims processing.
END USER WARRANTY
Limited Warranty
Paintball markers and hard goods have a limited one-year warranty for defects in manufacturing and workmanship. Copy of sales receipt must be included for all warranty work.
Wicked Air Sportz covers Circuit Board with a limited Lifetime warranty. Warranty on wiring harnesses is limited to defects in manufacturing.
Misuse, abuse or alteration of the marker voids the warranty.
Pneumatic valve is not made by Alien and does not have a warranty.
Alien will pay return shipping only on warranty work. Owners will pay shipping to Alien for warranty work. Owner will pay shipping both directions on non-warranty work.
Any product that is shipped to Alien must first be cleaned of any debris to allow for a proper inspection. Any product that is returned and has not followed the proper product care instructions will not be eligible for warranty work.
GENERAL RETURN POLICY
Any returns or refusal of shipment will result in a 20% restock fee upon return, as well as any shipping expenses incurred by our company on refused shipments.
LIMITATIONS OF LIABILITY
NOTWITHSTANDING ANYTHING CONTAINED HEREIN TO THE CONTRARY, ALL LIABILITY OF SELLER UNDER THIS AGREEMENT OR OTHERWISE SHALL BE LIMITED TO MONEY PAID TO SELLER UNDER THIS AGREEMENT DURING THE SIX MONTH PERIOD PRECEDING THE EVENT OR CIRCIUMSTANCES GIVING RISE TO SUCH LIABILITY. IN THE CASE OF DAMAGES RELATING TO ANY ALLEGEDLY DEFECTIVE PRODUCT, SHALL UNDER ANY LEGAL OR EQUITABLE THEORY, BE FURHTER LIMITED TO THE PURCHASE PRICE PAID BY BUYER FOR SUCH PRODUCT. IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTLIAL DAMAGES, LOST PROFITS, OR ANY OTHER INDIRECT DAMAGES EVEN IF SELLER HAS BEEN INFORMED OF THE POSSIBILITY THEREOF.
Alien Paintball, Inc. reserves the right to deny service for violation of this or any of our policies.
